Terms of Service

By accessing or using Rivo (the website, the WhatsApp-based AI service, or any related dashboard), the agent or agency (the “Customer,” “you”) agrees to these Terms. If you do not agree, do not use the Service.

1. Description of Service

Rivo provides an AI-powered lead qualification and viewing-scheduling service. It operates via WhatsApp Coexistence on the Customer’s existing WhatsApp Business number, and integrates with property portals and ad platforms to capture and qualify inbound buyer inquiries.

2. Eligibility

The Service is intended for licensed real estate agents and agencies operating in Singapore (expanding to other markets over time).

The Customer represents that they hold any licenses required to operate as a property agent under applicable law, for example CEA registration in Singapore.

3. Account & WhatsApp Business Integration

• The Customer is responsible for maintaining an active WhatsApp Business account in good standing with Meta.
• The Customer authorizes Rivo to send and receive messages on their behalf via the Meta Cloud API for the purposes of the Service.
• The Customer remains responsible for compliance with Meta’s own Business/Commerce policies.

4. Subscription Plans & Fees

Rivo is offered on subscription plans, Starter, Pro, and Team, as described on the pricing section of our website. Features and limits vary by plan.

• Billing cycle: plans are billed monthly.
• Payment method: credit card.
• Auto-renewal: subscriptions auto-renew each month until cancelled.
• Price changes: we will give at least 30 days’ notice before any price change takes effect.
• Refunds: fees paid are non-refundable.

5. Customer Responsibilities

As a Customer, you agree to:

• Provide accurate business information
• Ensure any leads or buyers are treated fairly, and are not subjected to spam or harassment via the platform
• Not use the Service for any unlawful purpose, including circumventing CEA rules on commission-sharing with unlicensed parties
• Maintain the confidentiality of any account credentials

6. AI-Generated Output Disclaimer

Rivo’s AI qualifies leads and scores intent based on available conversation data. This is a decision-support tool, not a guarantee of buyer intent, creditworthiness, or transaction completion.

Agents remain responsible for their own professional judgment and regulatory obligations (e.g., CEA conduct requirements) in every transaction.

7. Data & Privacy

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

8. Intellectual Property

• Rivo retains all rights to the platform, AI models, and underlying technology.
• The Customer retains rights to their own business data, and grants Rivo a limited license to process it to provide the Service.

9. Termination

Either party may terminate the Service by giving 30 days’ notice. Notice of termination should be sent to team@rivoai.co.

Rivo may suspend or terminate access for breach of these Terms, non-payment, or misuse of the Service.

10. Limitation of Liability

To the maximum extent permitted by Singapore law, Rivo’s total liability arising out of or in connection with the Service is capped at the fees paid in the preceding 12 months.

Rivo is not liable for indirect or consequential damages, subject to any mandatory limits under Singapore law.

11. Warranty Disclaimer

The Service is provided “as is” without warranties of uninterrupted operation. The Service depends on third-party platforms, such as Meta, property portals, and ad networks, that are outside Rivo’s control.

12. Governing Law

These Terms are governed by the laws of Singapore. Disputes are subject to the exclusive jurisdiction of the Singapore courts.

13. Changes to Terms

We may update these Terms from time to time. We will notify Customers of material changes through the website or direct communication before they take effect.
